John A. Menchaca

John A. Menchaca has more than 25 years of experience representing venture capital and other private equity firms, emerging growth companies and entrepreneurs in connection with debt and equity financings, mergers and acquisitions, public and private securities offerings, joint venture transactions, and general corporate law and licensing matters.    

Immediately prior to joining the firm, John served as a Senior Vice President, General Counsel and Secretary for nine years at a worldwide identity theft protection company. As a member of the senior leadership team, John personally negotiated, managed and documented a broad array of commercial, financial transactions and SaaS-model platform implementations for the company.  In this General Counsel role, John developed a specialized expertise in intellectual property, technology and licensing matters, as well as privacy and data breach law. He has handled multiple regulatory and compliance matters, supervised litigation and addressed numerous business issues.  Prior to this General Counsel role, John was a shareholder in two other regional law firms, where he Co-Chaired the firm’s Diversity Committee.

John has also served as an Adjunct Professor of Law at The University of Texas Law School, where he taught a class entitled “The Life Cycle of a Technology Start Up” from 2001-2004.  He has presented at the University of Texas, Texas State University, St. Edward’s University, the Central Texas Angel Network and various continuing legal education seminars on the subject of representing emerging growth companies.

Representative Experience

  • Legal and transactional representation of companies in complex mergers, acquisitions and restructurings, with a focus on advising technology companies
  • Legal and transactional representation in connection with various partnership and joint venture transactions
  • Representation of venture capital funds, private equity funds and angel investors in connection with financing emerging growth companies
  • Advising Board of Directors and senior management teams with respect to fiduciary duties and other Board responsibilities
  • Counseling in connection with various data and privacy matters, including extensive experience with international data privacy issues and GDPR
  • Counseling and advising with respect to various corporate governance issues
  • Negotiation of numerous SaaS-model platform agreements, data supply agreements and licensing agreements, including negotiation of SLAs and related provisions
  • Advising entrepreneurs in connection with entity formation and funding rounds
